Servando can assist in all types of mergers. The most common is a merger of fully owned subsidiary. But we have experiences and will assist you even with other merger options with more companies merge to another company or to an established company through the merger, named combination. We have also run several mergers where a parent company is merged to a subsidiary.
The decision and registration process are a bit different dependent on merger alternatives, but we will always assist to draft decision and registration documents, notices of deadlines and project leading with information to all included companiesâ shareholders and board of directors and the companyâs auditors.
When the merger is finalized, the transferred companies are deregistered, and the remaining company has received the deregistered companies all assets and debts. A merger without problems normally takes 3 to 4 months.
As an additional service to the legal merger assignment, we can also assist to call and inform known creditors and with investigations and advice how a merger should be handled in the books and for taxation at the involved companies.
